e. The Contractor shall bill the City by invoice <br /> monthly, showing by the above categories and itemizing by <br /> date, special event and/or location of emergency call, and <br /> length of time required for subsection (d) above, the amounts <br /> due and payable, and the City shall pay Contractor within <br /> fifteen (15) days of receipt of invoice. The first invoice <br /> shall cover the first monthly period following the effective <br /> date of this Agreement and subsequent invoices shall cover <br /> monthly periods thereafter. <br /> <br /> 6. Purchase of City's Mechanical Sweeper. The Contractor <br />agrees to purchase from City the City's FMC Street Sweeper under <br />the following terms and conditions: <br /> <br /> a. Purchase Obligation. The Contractor agrees that, <br /> in the event the City and the Contractor enter into a <br /> subsequent agreement for street sweeping purposes for a <br /> period of not less than twelve (12) months, the Contractor <br /> shall purchase the City's street sweeper at fair market value <br /> as determined by an appraisal made by a mutually agreed upon <br /> appraiser, and said appraised amount shall be payable at the <br /> time of the execution of such subsequent agreement, or as <br /> mutually agreed by the parties at that time. <br /> <br /> b. Maintenance Obligation. The City shall maintain <br /> the FMC Street Sweeper in accordance with the manufacturer's <br /> specifications during the term of this agreement and upon <br /> purchase by the Contractor pursuant to Section 6(a) above, <br /> shall deliver said sweeper to the Contractor in the same <br /> condition as at the effective date of this agreement, normal <br /> wear and tear excepted. <br /> <br /> c. City's Option. City shall have the opton to retain <br /> the FMC Street Sweeper, not withstanding the foregoing <br /> sections 6a and 6b. <br /> <br /> 7. Term. The term of this Agreement shall be for a period <br />of one year beginning on the date of execution of this Agreement. <br /> <br /> 8. Water Use. The Contractor shall provide sufficient <br />water for the street sweeping equipment. Water will be made <br />available by the City and shall be metered and paid for by the <br />Contractor in accordance with then existing City regulations. <br /> <br /> 9. Complaints. The Contractor shall maintain a record of <br />complaints concerning the Contractor's performance of this <br />Agreement, both those directed to the Contractor directly and <br />those forwarded to the Contractor by City personnel. The <br />Contractor shall investigate the circumstances surrounding such <br />complaints and shall report to the Director, within three (3) <br />days of receipt of any complaint, any action or procedure taken <br />with respect to such complaint. <br /> <br /> 10. Insurance. The Contractor further agrees to fulfill the <br />following: <br /> <br /> <br />
