e. The Contractor shall bill the City by invoice monthly, showing by the above categories and itemizing by date, special event and/or location of emergency call, and length of time required for subsection (d) above, the amounts due and payable, and the City shall pay Contractor within fifteen (15) days of receipt of invoice. The first invoice shall cover the first monthly period following the effective date of this Agreement and subsequent invoices shall cover monthly periods thereafter. 6. Purchase of City's Mechanical Sweeper. The Contractor agrees to purchase from City the City's FMC Street Sweeper under the following terms and conditions: a. Purchase Obligation. The Contractor agrees that, in the event the City and the Contractor enter into a subsequent agreement for street sweeping purposes for a period of not less than twelve (12) months, the Contractor shall purchase the City's street sweeper at fair market value as determined by an appraisal made by a mutually agreed upon appraiser, and said appraised amount shall be payable at the time of the execution of such subsequent agreement, or as mutually agreed by the parties at that time. b. Maintenance Obligation. The City shall maintain the FMC Street Sweeper in accordance with the manufacturer's specifications during the term of this agreement and upon purchase by the Contractor pursuant to Section 6(a) above, shall deliver said sweeper to the Contractor in the same condition as at the effective date of this agreement, normal wear and tear excepted. c. City's Option. City shall have the opton to retain the FMC Street Sweeper, not withstanding the foregoing sections 6a and 6b. 7. Term. The term of this Agreement shall be for a period of one year beginning on the date of execution of this Agreement. 8. Water Use. The Contractor shall provide sufficient water for the street sweeping equipment. Water will be made available by the City and shall be metered and paid for by the Contractor in accordance with then existing City regulations. 9. Complaints. The Contractor shall maintain a record of complaints concerning the Contractor's performance of this Agreement, both those directed to the Contractor directly and those forwarded to the Contractor by City personnel. The Contractor shall investigate the circumstances surrounding such complaints and shall report to the Director, within three (3) days of receipt of any complaint, any action or procedure taken with respect to such complaint. 10.
