for the Project (as defined in the Long TermAgreement).- Pursuant <br />to Article II.B of the Long Term Agreement, building permits may <br />be granted pursuant to the Long Term Agreement, and for utilization <br />within the time limit set forth in the Long Term Agreement. In the <br />event of'the expiration of either the growth management approval <br />or the building permits issued pursuant thereto, the growth <br />management approval so expiring may be reallocated by the City in <br />accordance with its growth management program. <br /> <br /> 2. Pursuant to that certain AssignmentAgreement ("Assign- <br />ment Agreement") made by and between Ponderosa and K&H Partners, <br />a California general partnership ("K&H"), Ponderosa sold, trans- <br />ferred and assigned to K&H all of its right, title and interest in <br />and to the Long TermAgreement, which assignment has been consented <br />to by City. <br /> <br /> 3. On March 31, 1986, K&H acquired and became the fee owner <br />of that certain real property more fully described on Exhibit "A" <br />attached hereto and made a part hereof (the "Property"). On March <br />31, 1986, K&H sold and conveyed title to that portion of the <br />Property more particularly described on Exhibit "B" hereto ("the <br />Industries Property") to Industries and sold and conveyed that <br />portion of the Property more particularly described on Exhibit "C" <br />hereto (the "Partners Property") to Partners. <br /> <br /> 4. Pursuant to Article VI.A of the Long Term Agreement <br />which provides that the Long Term Agreement shall run with the land <br />so purchased and shall be binding upon any and all heirs, assigns, <br />and successors in interest of K&H having an interest in the <br />property so purchased, Industries has the rights and obligations <br /> <br /> -2- <br /> <br /> <br />
