upon written notice to Authority any time before the effective <br />date of termination, provided, however, that the Board must <br />approve such rescission. <br />If Authority has, as nernittec~ by paragraph 8a(iii} , <br />executed a lona-term contract for public transportation services <br />which includes a commitment to claim and expend public <br />transportation financial assistance which a terminated member <br />jurisdiction is eligible to claim, the terminated member <br />jurisdiction shall be bound by such commitment. If equitably <br />required, the terminated member jurisdiction shall not claim, but <br />instead shall assist Authority to claim, such financial <br />assistance during the term of such contract. If possible, <br />Authority will cooperate to arrange an equitable division of the <br />obligations and benefits of said contract. A terminated member <br />jurisdiction shall continue to provide assurances and perform <br />acts as required by paragraph 8a(iii)(b) of this agreement. <br />During the term of such contract, Authority shall provide a <br />terminated member jurisdiction public transportation services <br />within the terminated member's area on a fair and equitable basis <br />in proportion to the financial assistance received by Authority <br />which is referable to such terminated member jurisdiction. <br />b. ComAlete Dissolution. Upon termination by all but <br />one member jurisdiction, the Authority shall be dissolved; <br />provided that if Authority has, as permitted t-y paragraph ga(ii) , <br />executed long-term contract for public transportation services <br />which cannot hP canceled or c~iviaed and which includes a _ <br />commitment to claim and exi`en~l financial assistance for. the <br />period of such contract, then Authority may not he dissolved <br />--15- <br />
