related to the use of the Parking Facility or access ease- <br />ments thereto. Each party shall have a right of contribu- <br />tion, which entitles it to recover from the other party a <br />proportional share of any judgment against it, to the extent <br />that the other party's negligence contributed to the judg- <br />ment. <br /> <br /> 9. Contingency. The obligations of the parties <br />to this Agreement are contingent upon the acquisition by <br />City of the Canal Easement Area. <br /> <br /> 10. Recordation. All conveyances required here- <br />under shall be in recordable form and may be recorded by <br />either party. The obligations described heroin shall run <br />with the land and shall inure to the benefit of, and be <br />binding upon, the parties hereto and their respective <br />transferees, successors and assigns, and all persons <br />claiming under them. <br /> <br /> 11. Use of Easements. City and Hopyard shall use <br />the easement granted herein cooperatively in such a manner <br />as will not reasonably hinder or impede the other party <br />hereto in such party's use or enjoyment of the easement. <br /> <br /> 12. Exhibits. Exhibits A, B, C, D, E and F, are <br />hereby incorporated heroin by this '[ef'~re[ce] <br /> <br /> 13. AttorneX's Fees. If either party brings an <br />action in law or in equity to enforce, interpret or redress <br />a breach of this Agreement, the prevailing party in such <br />action shall be entitled to reasonable attorneys' fees and <br />costs incurred in addition to all other relief allowed by <br />law. <br /> <br /> 14~a~rment. Hopyard at its <br />option may Agreement, by recording <br />documents sufficient to reconvey to City all of Hopyard's <br />interest in the Canal Easement.
