C. Developer is seeking growth management approval for the
Project under the City's Growth Management Program.

D. City may enter long-term agreements with project
developers meeting the requirements for such agreements pursuant
to Ordinance No. 1032 (Growth Management Program) as amended and
the implementing procedures contained in Resolution No. 82-66 as
amended.

E. At the present time, it is projected that all approved
but as yet unbuilt units would, upon completion, cause the City
to reach the population benchmarks established in the Growth
Management Element of the Pleasanton General Plan for 1996. A
Residential General Plan Review Committee consisting of all
interested citizens from Pleasanton has recommended modifications
to the Growth Management Element which would permit the addition-
al units contemplated by this Agreement, if and when finally
approved by the City. Those General Plan amendments are current-
ly the subject of an environmental impact report and are sche-
duled for final consideration in September, 1986.

F. City and Developer wish to enter into a long-term
agreement in order to achieve the benefits of the Project to City
and its residents as set forth in staff report, committee reports
and discussions of the City Council on May 6, 1986 while main-
taining conformity with the City's General Plan growth policies.

-2~
