R. Altura & Company, Inc. <br />(hereinafter called the "Underwriter"), offers to enter into <br />the following agreement with the City of Pleasanton <br />(hereinafter sometimes called the "City"), which, upon the <br />City's acceptance of this offer, will be binding upon the <br />City and upon the Underwriters. This offer is made subject <br />to the City's acceptance of this Purchase Contract on or <br />before 10:00 p.m.P.S.T., or as soon thereafter as possible, <br />on May 1, 1986, and, if not so accepted, will be subject to <br />withdrawal by the Underwriter upon written notice delivered <br />to the City at any time prior to the acceptance hereof by <br />the City. <br /> <br /> 1. Upon the terms and conditions, and upon the basis <br />of representations set forth herein, the Underwriter hereby <br />agrees to purchase from the City, and the City hereby agrees <br />to sell and deliver to the Underwriter, $6,120,000 aggregate <br />principal amount of the City of Pleasanton Improvement <br />Bonds, Assessment District 1986-4, Valley Business Park No. <br />2 (hereinafter called the "Bonds"). The Bonds shall be <br />dated May 15, 1986, and shall have the maturities and bear <br />interest at the rates per annum shown on Exhibit A attached <br />hereto, such interest being payable semiannually on <br />September 2 and March 2, commencing March 2, 1987. The <br />purchase price for the Bonds shall be $5,875,200 for payment <br />for and delivery of the Bonds pursuant to paragraph 9 hereof <br />(such payment for and delivery of the Bonds, and the other <br /> <br /> EXHIBIT A <br /> <br /> <br />
