licenses and the other rights to use of the E1 Charro Route gran-
ted by this Agreement shall be of no further force and effect as
to Qualifying Properties and Kaiser's obligations under this
Agreement shall be terminated.

5. Statement of Cooperation. The City and Kaiser agree
that the future of the E1 Charro Interchange and the proposed
Stoneridge Drive Extension must be carefully planned. The col-
lective general plans of Livermore, Pleasanton and Dublin show
projected traffic levels using E1 Charro interchange which far
exceed the capacity of that interchange. Any proposed solution
will have to address the question of incompatibility between
truck and auto traffic in certain circumstances. The proposed
solution will require coordinated action from the Cities of Dub-
lin, Livermore and Pleasanton; Alameda County; the gravel compa-
nies including Kaiser, Lone Star, and Rhodes Jamieson; land
developers including owners of the Reynolds Johnson parcel, the
Staples Ranch and large areas north of the E1 Charro interchange.
It will require coordinated action in advance by all affected
parties to obtain CalTrans approvals. Kaiser and Pleasanton
agree to start now and work cooperatively to assure better plan-
ning for the E1 Charro Interchange, the Stoneridge Extension and
East Pleasanton generally.

6. Covenants to Run with the Land. The provisions of this
Agreement shall be binding upon the parties hereto and upon their
successors and assigns. This Agreement shall be executed in re-
cordable form and may be recorded with the Alameda County Record-
er's Office by either party to this Agreement.

- 6 -
