Box 5 20
P1 easanton, CA 94566

Modified Scope of EngineerinV. Services

Dear Bob:

The current Pleasanton/CDM agreement of April 10, 1984, set forth a
scope of services that we were to perform and compensation for those
services. In August 1984 we determined, after considerable work, that
geotechnical problens and land acquisition constraints at the site of
the proposed Tank 510-2 on Santos Ranch Road made it impossible to
construct a tank that would be safe from long-term foundation
stability problems. This determination required that we study
alternatives to the proposed 250,000 gallon tank, and the results of
our study indicated that Foothill Booster Pump Station No. 2 should be
expanded into a more elaborate pump station.

The above described engineering services were performed and Foothill
Booster Pump Station No. 2 is under construction. The terms of the
April 10, 1984, agreement state that CDM's compensation will be 6.5
percent of the construction cost estimate. Therefore, we will not be
compensated for the work we have already performed on Tank 510-2
because the tank will not be constructed.

In view of the changed scope of services, we formally request the
fol lowi ng additional compensation:

$ 4,890 for basic services (site layouts, preliminary design
and related work)
3,920 for special services ( geotechnical study, 1 imited
topographic survey)
2,000 for study and computer analyses of the service area
around Santos Ranch Reservoir to determine
alternatives to Tank 510-2

$10,810 Total

EXHIBIT A

SEP 5
