in Exhibit B and as approved by the Director of Public Works <br />of CITY, barring unforeseen delays beyond the CONSULTING <br />ENGINEER'S (or his consultant's) control. Such unforeseen <br />delays include, but are not limited to, delays ordered by or <br />caused by any .governmental agency (including CITY); delays <br />incurred in processing or receiving approval of any reports, <br />plans or specifications from any governmental agency; delays <br />in obtaining any necessary contracts from private parties or <br />corporations; delays caused by holding of lega~ public <br />hearings; delays caused by any material suppliers or <br />manufacturers; or any strike, embargo, accident, or Act of <br />God. <br /> <br /> 20. E.~spension or Termination--And Payment of Fees <br /> Therefor: <br /> <br />a. It is agreed that CITY may terminate this <br />Agreement in its sole discretion upon written notice to <br />CONSULTING ENGINEER; CONSULTING ENGINEER may terminate this <br />Agreement upon written notice to the CITY to terminate in the <br />event of substantial failure of performance by CITY; or if <br />CITY, by the adoption of a resolution of its City Council, <br />should deem it necessary or desirable to abandon or <br />indefinitely suspend the project, then the Agreement may be <br />terminated or indefinitely suspended in whole or in part as <br />the circumstances require. <br /> <br /> <br />
