the Funding Partners, including costs and damages, (6) status of reporting, and (7) <br />communication protocols. <br />(d) Funding Partners represented on the Steering Committee jointly and severally, <br />will indemnify and hold harmless the Contractor Administrator from and against any and <br />all claims, liabilities, causes of action, damages, expense or costs (including reasonable <br />attorneys fees and costs) that result from or arises out of (1) the negligent acts, omissions <br />or willful misconduct of the EACCS Coordinator, or (2) the Contract Administrator's <br />performance of any act authorized and/or directed by the EACCS Coordinator. To the <br />extent that a settlement is reached regarding any allegation or liability arising out of the <br />obligations contemplated in this section, such settlement must be approved by the <br />Funding Partners in order to be binding and effective. The indemnity and hold harmless <br />obligation herein shall survive termination and/or withdrawal from this Agreement. <br />(e) Upon approval by the EACCS Coordinator, the Contract Administrator will <br />pay all EACCS program consultant invoices for work performed under contracts <br />approved by the EACCS Coordinator. The Funding Partners agree to the following: <br />(1) The Contract Administrator shall, on a monthly basis, invoice the <br />Funding Partners in their proportionate share for the actual cost, including any change <br />orders and claims approved by the EACCS Coordinator, paid by the Contract <br />Administrator to consultant(s). <br />(2) The Funding Partners agree to remit payment to the Contract <br />Administrator within 30 days of receipt of invoice from the Contract Administrator. <br />(3) It is expressly agreed by Funding Partners that an administrative fee of <br />1.5% shall be added to the actual cost paid by the Contract Administrator to consultant(s), <br />and such fee will be paid by the Funding Partners to the Contract Administrator to defray <br />all costs and expenses incurred by the Contract Administrator in connection with its <br />administration of the Consultant contract(s). ' <br />6. WITHDRAWAL FROM EACCS EFFORT <br />Any Funding Partner may withdraw from this Agreement upon 30 days' written <br />notification to the other Funding Partners, after which time the withdrawing Funding <br />Partner will no longer be a Funding Partner and will no longer have any rights or <br />obligations under this Agreement; except that the withdrawing Funding Partner will <br />
