6. Conveyance. Owner shall convey to City the Property by <br />grant deed in fee simple, free and clear of all liens, <br />encumbrances, and taxes,except those exceptions to title <br />disclosed in the preliminary Report issued by Northwestern Title <br />Company dated August 2, 1985, Order No. 87736 and any option as <br />described in Exhibit "A" herein. <br /> <br /> 7. Time of Conveyence. Owner shall convey the Property to <br />City, or its assignee, at such time as designated by City, but in <br />no event later than 344 days after execution of this Agreement, <br />provided City has paid the consideration as stated in Paragraph 4 <br />of this Agreement and all terms and conditions of this Agreement. <br /> <br /> 8. Fees and Title Insurance. City shall pay escrow, <br />transfer fees, and recording fees incurred in this transaction <br />and, if title insurance is desired, the premium charged therefor. <br /> <br /> 9. Administrative Office Use of Property. City agrees to <br />cooperate with the seller/tenant in scheduling use of the <br />Property and allow its continued use by Owner with a minimum of <br />interference, but consistent with City's use and development of <br />the property. <br /> <br /> 10. Owner's Warranty. Owner warrants that there are no oral <br />or written leases on all or a portion of the Property. <br /> <br /> 11. Whole of Agreement.
