ATTACHMENT 7 SECOND AMENDMENT TO AGREEMENT This Second Amendment to Agreement is entered into this 15~' day of January 2008 by the City of Pleasanton ("City") and Keller Mitchell & Co. ("Contractor") Whereas, on Apri120, 2007„ the City and Keller Mitchell & Co. entered into a Professional Services Agreement (City reference number 07-033) for landscape design services to develop a Master Plan for the Gingerbread Preschool Play Yard, that was amended by a First Amendment to Agreement on September 13, 2007, to provide an alternative Master Plan with a lower cost option; and Whereas, the Contractor has successfully completed the outlined tasks and the Scope of Work has expanded to completing the Gingerbread Preschool construction documents; and Whereas, the parties desire to amend the Agreement. Now, therefore, the parties agree as follows: 1. Section 1 Exhibit A of the Agreement, "Scope of Services and Work Product" is amended to: • Design Scope including exterior paving, play yard design, site amenities, fencing, site grading, planting and irrigation. • Design Development based on the approved site studies, estimated construction budget and preparation and design development drawings. • Construction Documentation to include dimension plan, grading plan, landscape construction details, structural details, planting plan, irrigation plan and specifications section. • Construction Consultation to include site visits and to inform the client of the progress and quality of work. • Complete documents within three (3) months from the approval date of the second amendment or by April 11, 2008, whichever occurs first. 2. Section 5 -Compensation. Compensation for this revised scope of work will not exceed $40,000. However, the City may, at its discretion, request that the Contractor provide additional services at the hourly rates set forth in the attached. 3. All other terms and conditions of the Agreement shall remain in full force and effect. In witness whereof, authorized representatives of the parties have executed this First Amendment to the Agreement as of the date and year first above written.
