Oct 29 07 10,31a EEM 707-766-8159 ' <br />Attachment ~1 <br />Staff Contact <br />^ Certificate of Insurance <br />^ Attachments {if any) <br />AGREEMENT FOR CONTRACTOR GOODS /SERVICES <br />THIS AGREEMENT is made and entered into this ~ 9 day of October, 2007 by and between <br />Emergency Equipment Managemen#, Inc, ("Contractor"), whose address is PQ BOX 7355 Petaluma, CA <br />94955, and telephone number is (877) 540-9025 and the City of Pleasanton, a municipal corporation <br />("City"). <br />In consideration of the mutual promises set forth in this Agreement, the parties agree as follows: <br />Goods to be rovided/gervices to be rformed. The goods/services performed will consist of <br />Self-Contained Breathing Apparatus and training (at the City of Pleasanton Training Tower) as <br />described in the Request for Proposals issued by the City on September 13, 2007 (attached as Exhibit <br />A and incorporated herein by reference). <br />2. Term. Contractor shall begin work by November 7, 2007 and complete by Februazy 5, 2008. <br />Contractor shall perform services in accordance with the timelines set forth at Section N of the <br />Request far Proposals. <br />3. Com ensati n. City shall pay Contractor $579,556.03 ($624,888.30 for goods and services and <br />554,677.73 for tax), as set forth in Contractor's proposal for LPFD SCBA Progr~n dated October 5, <br />2007 and the Scope of Work (attached as Exhibit B and incorporated herein by reference). <br />4. Method of Payment. Contractor shall make a request for payment and the City shall make payment <br />shall occur after completion of the services performed and acceptance by City staff. <br />5. Indemnification. Contractar shall indemnify, save and hold harmless from and defend the City, <br />members of the City Council and their agents, servants and employees, against any and all claims, <br />casts, demands, causes of action, suits, losses, expense or other detriment or Lability arising from or <br />out of acts or omissions of Contractor, its agents, sub-contras.-tors, o#I"icials or employees, in <br />connection with the execution of the goods or services covered by this Contract or any amendments <br />thereto. <br />
