Duties of City: <br />1. Provide a qualified instructor from the staff of the LPFD to conduct the training. <br />2. Provide and maintain all equipment and instructional materials. <br />3. Set the amount of lab fees (if any) to be charged for instructional materials. <br />4. Provide a trainer to coordinate training with Adult Education secretary or principal. <br />5. Take attendance, student registration, and turn in required paperwork to the secretary <br />of Livermore Adult Education <br />6. Provide a copy of course curriculum to be retained by Livermore Adult Education <br />office. <br />7. Pay a flat fee of $25.00 per class for administrative services to Livermore Adult <br />Education. <br />II. Payment Procedure. In the event a lab fee is established for a specific type of class, <br />participants shall make their checks payable to LAE, and payments shall be due prior to entering <br />class. <br />On a monthly basis, District shall issue a check to City equal to the amount of the lab fees <br />collected for the classes, less the $25.00 flat fee administrative charge for each class offered. <br />III. Workshops, Seminars, Staff Training. In addition to the classes provided above, the <br />parties may also provide workshops, seminars and staff training in public safety for the <br />community. The LAE principal and the City's LPFD EMS Manager will provide collaborative <br />program coordination where appropriate. Collaboration may include the use of facilities, <br />registration, attendance procedures, trainers, instructional materials, and grant writing. There <br />will be no charge to City for the use of facilities if the training is co-sponsored by District - <br />Livermore Adult Education. <br />IV. Termination of Contract. Either party may terminate this agreement upon thirty (30) days' <br />notice by mailing a notice in writing to the other party. <br />V. Indemnify and Hold Harmless. District shall defend, indemnify, and hold harmless, the <br />City and its officers, employees and volunteers, and the Livermore-Pleasanton Fire Department, <br />and its officers, employees and volunteers, from and against all claims, losses, damage, injury, <br />and liability for damages arising from negligent or wrongful acts or omission of District in the <br />performance under this Agreement, except for injuries and damages caused by the sole <br />negligence of the City and/or the Livermore-Pleasanton Fire Department. <br />The City shall defend, indemnify, and hold harmless, the District and its officers, employees and <br />volunteers, from and against all claims, losses, damage, injury, and liability for damages arising <br />from negligent or wrongful acts or omission of the City in the performance under this <br />Agreement, except for injuries and damages caused by the sole negligence of the District. <br />2 <br />
