3. FICAL will hold and keep as custodian the FUNDS transferred to it hereunder and will <br />discharge its obligations in accordance with the terms of this Agreement. <br />4. FICAL shall transfer FUNDS to other CLIENT sponsored Deferred Compensation <br />Providers only when authorized in writing by CLIENT. <br />II. SERVICES <br />1. FICAL shall provide the following services to CLIENT: <br />a. All necessary recordkeeping and administrative functions resulting from <br />investments in the Interstate 457 service. <br />b. Quarterly statements to participants in the Interstate 457 service, as well as a <br />cumulative monthly report to CLIENT. <br />c. Assistance in implementing the Interstate 457 service by conducting informational <br />meetings for CLIENT and PLAN participants. Such meetings will be conducted <br />by FICAL's representatives. <br />d. Guidance to the CLIENT in the CLIENT's preparation of forms related to the <br />PLAN. It is understood and agreed that FICAL shall not bear the cost of printing <br />or distribution of forms related to the PLAN, except as provided below. <br />e. Preparation of materials describing FICAL investment options, subject to CLIENT <br />approval. It is understood and agreed that FICAL will bear the cost of printing <br />such materials in amounts reasonably required by the CLIENT. <br />f. Preparation of a FICAL Participation Agreement, Distribution Request and <br />Deferral of Distribution Request forms for those CLIENT employees who elect the <br />FICAL investment option under the PLAN. It is understood and agreed that <br />FICAL will bear the cost of printing such FICAL forms in amounts reasonably <br />required by the CLIENT. <br />g. Report pertinent information to outside agencies, as now or later may be <br />reasonably required, and furnish information regarding the PLAN to CLIENT for <br />its records and accounting, as now or later may be reasonably required. <br />h. FICAL may provide CLIENT participants with a standard communications <br />package, to be more fully defined in writing by FICAL, at FICAL's sole <br />discretion. <br />i. FICAL shall provide a "Voice Module" to facilitate participant inquiries, account <br />balances, redirect funds, and general program information. <br />2 <br />
