statement of costs for escrow and the final proposal for the cost <br />of CLTA Standard Form title insurance. <br /> <br /> 7. Deposit of Compensation. Within ten (10) days of <br />receipt by City of the copy of the Grant Deed, the City will fund <br />the escrow for the purchase price set forth in paragraph 3, the <br />cost of escrow, and if desired, the cost of the CLTA title <br />insurance policy. City will also provide the additional <br />documents necessary from City in order to close escrow, i.e. the <br />City Council resolution approving this Agreement and the <br />Certificate of Acceptance. <br /> <br /> 8. Grant of Authority. The City Manager, City Attorney and <br />Mayor are hereby authorized to undertake all further actions and <br />execute any documents necessary to complete this transaction. <br /> <br /> 9. Attorneys' Fees. The prevailing party in any action <br />brought to enforce or construe the terms of this agreement may <br />recover from the other party its reasonable costs and attorney's <br />fees expended in connection with such an action. <br /> <br /> 10. Whole of the Agreement. The parties have set forth <br />herein the whole of their agreement. The performance of this <br />agreement constitutes the entire consideration for the <br />conveyances described herein and shall relieve the City of all <br />obligations or claims on this account. <br /> <br /> THIS AGREEMENT is entered into as of the day and year first <br />above written. <br /> <br /> STONESON ASSOCIATES <br /> <br /> By. <br /> A.
