RESOLUTION NO. 07-149 <br />A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PLEASANTON, <br />APPROVING THE PREDEVELOPMENT AND COOPERATION AGREEMENT <br />BETWEEN THE CITIES OF LIVERMORE AND PLEASANTON, THE COUNTY OF <br />ALAMEDA, THE SURPULS PROPERTY AUTHORITY OF ALAMEDA COUNTY, AND <br />THE CALMAT CO., DBA VULCAN MATERIALS <br />WHEREAS, the City of Livermore has prepared a specific plan ("EI Charro Specific <br />Plan") to guide the future potential uses and development of approximately 150 acres along the <br />Freisman Road and/or EI Charro Road corridor at the western edge of Livermore ("EI Charro <br />Specific Plan Area"); and <br />WHEREAS, the Alameda County Surplus Property Authority is the owner of <br />approximately 124 acres of real property, comprised of 122.5 acres located in unincorporated <br />County immediately to the east of Pleasanton and 1.5 acres located in Pleasanton, commonly <br />known as Staples Ranch ("Staples Ranch Property"). The Staples Ranch Property is located <br />within Pleasanton's sphere of influence, and it is anticipated that Pleasanton will annex the <br />Staples Ranch Property promptly following approval of the Staples Ranch Project, as defined <br />below; and <br />WHEREAS, Prime Outlets Livermore Village, LLC, a Delaware limited liability company, <br />has submitted a proposal to Livermore for retail shopping center and related improvements <br />("Prime Outlets Project") on a 42t acre site within the EI Charro Specific Plan Area. The Prime <br />Outlets Project requires a number of approvals from Livermore; and <br />WHEREAS, on May 16, 2006, Livermore issued a Notice of Preparation, with respect to <br />a Draft Environmental Impact Report ("EIR") for the EI Charro Specific Plan and the Prime <br />Outlets Project (together, the "Current Livermore Projects"); and <br />WHEREAS, the Current Livermore Projects incorporate improvements to EI Charro <br />Road, including a relocation of Freisman Road, the new intersection of EI Charro Road, Jack <br />London Boulevard and Auto Mall Place ("EI Charro/Jack London/Auto Mall Place"), the new <br />intersection of Jack London Boulevard and the new Road A ("Jack LondoNRoad A <br />Intersection"), and the extension of Jack LondoNRoad A Intersection. The Current Livermore <br />Projects will result in significant increases in traffic on EI Charro Road above existing traffic <br />volumes; and <br />WHEREAS, a portion of the improvements required for the Current Livermore Projects <br />will be built on land within unincorporated Alameda County. Such land is within the sphere of <br />influence of Pleasanton and may be subject to future annexation by Pleasanton. The parties <br />desire that construction of such improvements be coordinated with Pleasanton as necessary to <br />facilitate the future annexation of the area; and <br />WHEREAS, the Authority has proposed amixed-use development project on the <br />Staples Ranch Property ("Staples Ranch Project") as more particularly described in the Notice <br />of Preparation of a Draft Environmental Impact Report (DEIR) for the Stoneridge Drive Specific <br />Plan Amendment/Staples Ranch Project, dated March 19, 2007 ("Staples Ranch NOP"). As <br />described in the Staples Ranch NOP, the Staples Ranch Project includes a 37t acre auto mall <br />with up to 331,000 square feet of buildings and up to 3,270 parking stalls; a 45t acre senior <br />continuing care community with 1,400,OOOt square feet of buildings housing 8001 assisted <br />
