The commission percentage is subject to annual review, commencing one year from the effective date of this Agreement. Any change as a result of such review will become effective 90 days after the Client has received written notice of such change. 7. No suits will be instituted by Agency without the written consent of Client. Consent from Client shall be in writing and may be granted by the City Manager, Police Chief or City Attorney. On suits instituted by Agency, with approval of Client, the Agency will pay attorney fees. 8. The Client may at any reasonable time examine the Agency's records pertaining to accounts referred to Agency under this Agreement. 9. This Agreement is for a period of one year and thereafter shall continue upon the same terms and conditions as set forth herein. After the first year, either party may cancel this Agreement upon 30 days written notice. 10. It is agreed that upon the termination of the Agreement, the Agency may, except elsewhere provided herein, retain for collection in accordance with the terms hereof any account upon which a partial payment has been made within the year prior to termination, and any account which the Agency may have placed with attorneys for collection in accordance with the terms hereof. Any monies received as a result of the Agency's efforts within thirty (30) days from date of withdrawal shall be credited to the Agency. 11. It is agreed that nothing herein contained shall be construed as obligating the Client to place accounts with the Agency for collection. 12. The Client agrees to immediately pay the Agency any amounts due to the Agency upon receipt of Agency's invoice. If Agency fails to receive payment of amounts due to Agency within thirty (30) days after the date of Client's receipt of the invoice therefore (which dates of receipt shall conclusively be presumed to be no later than five (5) days after the mailing thereof), Client agrees that it shall incur a finance charge in the amount of 1.5% per month (but not to exceed 18% per annum) on the unpaid amount. Notwithstanding the provisions of this paragraph and the provisions of paragraph 4 of this Agreement, Agency shall have the right to offset any amounts owed to it by Client that are over thirty (30) days past due, from amounts payable by Agency to Client hereunder. 13. This Agreement shall be subject to and governed by the substantive laws of the State of California.
