"Trust Agreement"), pursuant to Which the Trustee will execute <br />and deliver certificates of participation (herein called the <br />"Certificates of Participation") in an amount equal to the <br />aggregate principal components of such base rental payments, <br />each evidencing and representing a fractional undivided <br />interest in such base rental payments, and will use the <br />proceeds to finance the acquisition, construction and financing <br />of Capital Projects I and II; <br /> <br /> WHEREAS, there has been prepared and distributed, <br />pursuant to prior authorization of this City Council, a form of <br />Official Statement describing the Certificates of Participation; <br /> <br /> WHEREAS, Rauscher Pierce Refsnes, Inc., as <br />underwriter, has submitted to the City and the Corporation an <br />agreement entitled "Purchase Contract" to purchase the <br />Certificates of Participation (herein called the "Certificate <br />Purchase Agreement"); <br /> <br /> WHEREAS, the City has full legal right, power and <br />authority under the Constitution and the laws of the State of <br />California to enter into the transactions hereinafter <br />authorized; <br /> <br /> WHEREAS, this City Council has been presented with <br />the form of each document referred to herein, relating to such <br />financing of Capital Projects I and II, and the Board has <br />examined and approved each document and desires to authorize <br />and direct the execution of such documents and the consummation <br />of such financing; and <br /> <br />1549S <br /> <br /> <br />
