SITE LEASE <br /> <br /> (CAPITAL PROJECT I) <br /> <br /> This Lease, dated as of October 1, 1987, by and <br />between the CITY OF PLEASANTON, a municipal corporation of the <br /> "Cit" <br />State of California (herein called the y ), as lessor, and <br />the CITY OF PLEASANTON PUBLIC FACILITIES CORPORATION, a <br />nonprofit corporation duly organized and existing under and by <br />virtue of the laws of the State of California (herein called <br /> t ), as lessee; <br />the "CorpOra ion" <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, the Corporation intends to assist the City <br />by financing the construction for the City of a new water <br />reservoir and pipeline in the County of Alameda, California, <br />commonly known and designated as the Sycamore Water Reservoir, <br />to be located approximately 1,300 feet northeast of the <br />intersection of Alisal Road and Sycamore Road, and to have a <br />capacity of approximately 8,000,000 gallons of water, <br />including all works, properties and structures comprising said <br />reservoir and pipeline, together with parking, site <br />development, landscaping, utilities, equipment, furnishings, <br />improvements and appurtenant and related facilities (herein <br />called "Capital Project I"); and <br /> <br /> WHEREAS, the Corporation intends to lease Capital <br />Project I to the City by a lease, entitled "Facility Lease <br />(Capital Projects I and II)" and dated as of October 1, 1987 <br />(herein called the "Facility Lease"), and the City proposes to <br />enter into this lease with the Corporation as a material <br />consideration for the Corporation's agreement to construct <br />Capital Project I for and on behalf of the City; and <br /> <br /> WHEREAS, under the Facility Lease, the City will be <br /> obligated to make base rental payments to the Corporation for <br /> the lease of Capital Projects I and II; and <br /> <br /> WHEREAS, all rights to receive such base rental <br />payments will be assigned without recourse by the Corporation <br />to Bank of America National Trust and Savings Association <br />(herein called the "Trustee"), as trustee pursuant to an <br />agreement, entitled "Trust Agreement" and dated as of <br />October 1, 1987 (herein called the "Trust Agreement"); and <br /> <br /> WHEREAS, in consideration of such assignment and the <br /> execution of the Trust Agreement, the Trustee will execute and <br /> deliver certificates of participation (herein called the <br /> "Certificates") in an amount equal to the aggregate principal <br /> components of such base rental payments, each evidencing and <br /> <br /> 1454S <br /> <br /> <br />
