Mr. Brozosky pointed out that the public needed to be given the opportunity to
have input in the matter.

There was a break at 10:00 p.m.

The meeting reconvened at 10:09 p.m.

Mr. Roush mentioned that the way in which the Operator Agreement was
currently written indicates that the Operator shall have the fight to provide its eligible
employees pension and other benefits similar to what it pays other employees at other
golf courses operated by the Operator. He was concerned that if the City desired to have
these employees paid at a higher rate or receive a greater pension, it would impact the
Operator's operation elsewhere. He mentioned that he discussed the matter with the
Operator, and the Operator indicated that it did not feel it would present a problem should
the City ever decide to do so; therefore, his concerns had been alleviated.

During his conversation with the Operator at the break, Mayor Pico was apprised
that the Operator offered a 401 K program. Since the City is reimbursing 100 percent of
the costs for these employees, if the City wanted to create a match, Council would have
an option to do so.

Mr. Brozosky wondered if the golf course employees worked strictly at a single
course out of the many golf courses that the Operator manages?

Mr. Isaak stated that golf course employees work only at one golf course.

Mr. Wolfe presented the Grow In Agreement portion of the staffreport.

Mr. Brozosky asked who would make the final decision as to whether the golf
course was ready to open.

Mr. Wolfe stated that it is the City's final decision as to when the golf course
opens. He pointed out that staffwould like to open the golf course on November 1, 2004
in order to begin receiving revenue.

Mr. Brozosky asked about the termination provision.

Ms. Nerland reported that the Operator Agreement provides a 30-day notice for
termination if the relationship is not working out. The Grow-In Agreement provides a
provision for termination for cause and provisions if the City decided not to proceed with
the golf course.

Mr. Campbell realized the value of the greens as the most important part of the
golf course. He was concerned the golf course might open without allowing enough time

Pleasanton City Council 21 01/06/04
Minutes
