10. Notices. <br /> <br /> (a) VMH shall promptly notify the City <br /> and shall provide a copy of any ground lease <br /> to a profit making entity on the'Expanded <br /> Site. <br /> <br /> (b) In the event VMH believes that it <br /> has complied with a requirement of this <br /> Agreement, or that a use of the Project Site <br /> or transaction regarding the Project Site is <br /> consistent with this Agreement, VMH may notify <br /> the City in writing of such compliance, use, <br /> or transaction together with all information <br /> necessary for the City to evaluate the <br /> transactions. In the event the City contends <br /> that such requirement has not been met or such <br /> use or transaction would permit or require the <br /> imposition of NPID assessments, the City shall <br /> so notify VMH in writing within sixty (60) <br /> days following VMH's notice to the City. The <br /> noticed use and/or transaction shall be deemed <br /> consistent with this Agreement, and the <br /> requirement shall be deemed to have been <br /> satisfied, in the event the City fails to <br /> notify VMH to the contrary within said sixty <br /> day period. <br /> <br /> (c) All notices required or contemplated <br /> by this Agreement shall be in writing and <br /> shall be sent to the other party by certified <br /> mail, return receipt requested, addressed as <br /> follows: <br /> <br /> If to the City: <br /> <br /> City Manager <br /> P. O. Box 520 <br /> Pleasanton CA 94566 <br /> <br /> If to VMH: <br /> <br /> President <br /> Valley Memorial Hospital <br /> 1111 East Stanley Blvd. <br /> Livermore CA 94550 <br /> <br /> 13. A new Section 11 is added to the Agreement to read as <br />follows: <br /> <br /> Expiration Date. <br /> <br /> This Agreement shall expire and be of no further force <br /> and effect as of July 2, 2005. <br /> <br /> <br />
