Box 520 <br />Pleasanton CA 94566 <br /> <br /> AMENDMENTS TO AGREEMENT <br /> <br /> THIS AMENDMENT, dated this 7th day of June, 1988, to the <br />July 2, 1985 Agreement between VALLEY MEMORIAL HOSPITAL and the <br />CITY OF PLEASANTON, is entered into by and between the HOSPITAL <br />COMMITTEE FOR THE LIVERMORE-PLEASANTON AREAS, a California <br />nonprofit corporation doing business as VALLEY MEMORIAL <br />HOSPITAL) and the CITY OF PLEASANTON, a municipal corporation <br />(the "City"). <br /> <br /> RECITALS <br /> <br /> This Amendment is made with reference to the following facts: <br /> <br /> A. On July 2, 1985, VMH and the City entered into an <br />Agreement (the "Agreement") whereby it was agreed that, under <br />certain terms and conditions, a 19.2 acre parcel of real property <br />located in the City of Pleasanton and owned by VMH (the "Project <br />Site") would receive a zero dollar ($0.00) assessment from the <br />North Pleasanton Improvement District ("NPID"). A copy of that <br />Agreement is attached hereto as Attachment A; <br /> <br /> B. The Agreement provides that on or before July 2, 1987, <br />VMH shall have commenced construction of a medical office <br />building, outpatient diagnostic facilities and therapeutic <br />facilities, health promotion and education facilities, and a <br />health insurance program facility. The City acknowledges that a <br />separate building is not required for each type of facility <br />listed in the preceding sentence. The City also acknowledges <br />that VMH has commenced construction of a medical office building <br />and ambulatory care center in compliance with this requirement <br />(i.e. Buildings labeled A and B on PUD-86-11, attached as <br />Attachment B); <br /> <br /> C. VMH is in the process of developing an ambulatory care <br />facility, behavioral medicine facility, skilled nursing facility, <br />acute care hospital, and possible other projects to be part of a <br />medical campus. Some or all of these projects may be developed <br />by VMH with the participation of other nonprofit health care <br />organizations or partnerships of such health care organizations. <br />The City acknowledges that these projects are of the nature <br />contemplated by the Agreement; <br /> <br /> D. Subsequent to the original Agreement, VMH purchased <br />approximately 8.4 acres adjacent to the Project Site. The 8.4 <br />acres purchased by VMH adjacent to the Project Site were not <br />exempted from NPID assessments and were not subject to the use <br />and ownership restrictions of the Agreement. <br /> <br /> <br />
