Box 520 <br />Pleasanton, CA 94566 AGREEMENT <br /> <br /> THIS AGREEMENT is made and entered into this c~Jd <br /> day of ~y , 1985, by and between VALLEY MEMORIAL <br /> HOSPITAL, a California nonprofit public benefit corporation <br /> ("VMH") and the CITY OF PLEASANTON, a municipal corporation <br /> ( the "City" ). <br /> <br /> RECITALS <br /> <br /> A. VMH owns an approximately 19.2 acre site located <br /> <br /> on the northwest corner of Santa Rita Road and West Las Positas <br /> Boulevard, Pleasanton, California, more particularly described <br /> as Lot 2 of Parcel Map 4390, filed December 14, 1984 in Book 149 <br /> of Parcel Maps at pages 59 through 63, Official Records of <br /> Alameda County, California (the "Project Site"). <br /> <br /> B. VMH plans to construct on the Project Site a <br /> comprehensive array of nonprofit health care facilities and <br /> services. These health care facilities and services shall be <br /> those which are consistent with the health care needs of the <br /> citizens of Pleasanton and may include, but are not limited to, <br /> an inpatient acute care facility, emergency facilities, outpatient <br /> diagnostic and therapeutic facilities, medical office facilities, <br /> skilled nursing facilities, health promotion, education facilities <br /> and health insurance programs. <br /> <br /> C. VMH and the City have become knowledgeable of the <br /> potential costs involved in VMH's participation in the proposed <br /> improvements and the impact of such costs on the nonprofit <br /> hospital and its attempts to expand its facilities by constructing <br /> <br /> <br />
