5.7 LIVERMORE's payment to the AUTHORITY shall be reduced to the extent <br />that Zone 7 agrees to reimburse AUTHORITY for the cost of the design, permitting <br />and construction of the Livermore Flood Protection Improvements, including any <br />mitigation costs. If AUTHORITY'S cost for the Livermore Flood Protection <br />Improvements or the Minimum Livermore Flood Protection Improvements is less <br />than $2 million following reimbursement by Zone 7, LIVERMORE'S payment <br />obligation to AUTHORITY shall be reduced accordingly to represent a 50% share of <br />non-reimbursed costs. <br />5.8 If LIVERMORE has not paid AUTHORITY the amount set forth in paragraph <br />5.6 within 12 months of the substantial completion of the Livermore Flood Protection <br />Improvements, interest shall accrue on the total amount due at the then current Local <br />Agency Investment Fund rate until payment is made. <br />6. OTHER CONSIDERATIONS <br />6.1 If requested by PG&E, and provided that LIVERMORE is in compliance with <br />this Agreement, AUTHORITY agrees to make best efforts to expedite provision for <br />an appropriate temporary electrical easement to PG&E for an overhead 21 kV <br />electrical transmission line along the I-580 frontage of the Staples Ranch Property to <br />allow the connection of the Vineyard substation in Pleasanton with the Tassajara <br />substation in Dublin prior to the completion of the El Charro Interchange <br />Improvements. The AUTHORITY's obligations under this paragraph are subject to <br />PG& E's agreeing to the following: (a) PG&E, at no cost to AUTHORITY, must <br />remove the lines and relocate the service across the El Charro Road Interchange <br />within 90 days of substantial completion of the El Charro Road Interchange <br />Improvements, or as soon thereafter as practicable , (b) locate the temporary easement <br />on the Staples Ranch Property as directed by the AUTHORITY in a location and <br />manner that will not interfere with mass grading or construction on the Staples Ranch <br />Property, and (c) as part of the re-wiring of the existing 12 kv lines along El Charro <br />Road between I-580 and the Arroyo Las Positas, the 21 kV line will be relocated <br />outside of and east of the ultimate El Charro Road travel lanes as part of the PG&E <br />work and at PG&E's cost. <br />7. NON-INTERFERENCE <br />7.1 LIVERMORE, AUTHORITY and PLEASANTON agree that the proximity <br />of the El Charro Specific Plan and the Staples Ranch Project, as well as the need for <br />shared road and flood protection improvements that can serve both the El Charro <br />Specific Plan and the Staples Ranch Specific Plan, require the cooperation of all <br />parties in pursuing entitlements and approvals for both projects. <br />7.2 As set forth herein, LIVERMORE and its agents and representatives will <br />neither challenge nor oppose (a) PLEASANTON's or AUTHORITY'S actions to <br />process the Staples Ranch Specific Plan and EIR, (b) PLEASANTON's certification <br />of the EIR for the Staples Ranch Specific Plan and the Staples Ranch Project, (c) <br />PLEASANTON' S approval of the Staples Ranch Specific Plan and the Staples Ranch <br />12 <br />Cost Sharing Agreement <br />Surplus Property Authority, Livermore and Pleasanton <br />
