CONTRACT FOR SERVICES <br />THIS AGREEMENT is made and entered into this / Q~ day of April 2003, by and <br />between the CITY OF PLEASANTON, a municipal corporation (hereinafter referred to as the <br />"City"), and Caporicci & Larson whose address is 180 Grand Avenue, Suite 1365, Oakland, <br />California, 94612, and telephone number is 877 862-2200 ext 125, (hereinafter referred to as the <br />"Consultant"). <br />WITNESSETH: <br />A. Consultant is qualified to provide, and experienced in providing, professional <br />auditing services, and has offered its services for the purposes specified in this Agreement. <br />B. In the judgment of the City, it is necessazy and advisable to employ the services of <br />Consultant for the purposes provided herein. <br />NOW THEREFORE, in consideration of the mutual covenants, agreements and <br />conditions contained herein, City and Consultant agree as follows: <br />1. Consultant's Services. Consultant shall diligently perform the services and <br />furnish the materials, reports, and related materials as hereinafter set forth: <br />a. Consultant shall perform all work described in Exhibit "A", Scope <br />of Work, attached hereto and incorporated herein by this reference. <br />b. Consultant shall meet with City staff and others as necessazy to <br />complete the scope of work outlined in Section 1 (a) above. <br />2. City Services. In order to assist Consultant in this work, City shall provide, if <br />necessary, work space, staff assistance during the audit and appropriate financial information. <br />3. Staff. Consultant shall assign Stephen L. Larson to serve as the principal in <br />charge and the project manager for this work and who may not be replaced without written <br />consent of City. <br />4. Sufficiency of Consultant's Work. All reports prepared for City shall be <br />adequate and sufficient to meet the purposes for which they aze prepazed. <br />5. Ownership of Work. The final auditor's opinions prepazed pursuant to this <br />Agreement are the property of the City. All other reports, work data, and other documents <br />prepared by Consultant in the performance of the Agreement remain the property of the <br />Consultant. Any City documents used by the Consultant in its efforts to comply with this <br />Agreement will be returned to the City upon completion of the work. Consultant may retain <br />1 <br />
