Contractor shall invoice the City for which the Services were performed at the following address: City of Pleasanton 123 Main Street Pleasanton, CA 94566 Payment by the City shall be due 30 days from receipt of the invoice. 4. TEST RESULTS/REPORTS A. All test results, evaluations and interpretations will be rendered to to City in writing within three weeks after all tests are completed (composite group results). Confidentiality of program participants' individual results will be stictly adhered to (See Paragraph 7). B. Contractor agrees for a period of 2 years from the date hereof to notify City at least 90 days prior to any destruction of any records which may contain City results (not individual records). Upon such notifications, City may request and take possession of such records from Contractor. C. All group results, evaluations and interpretations will be the exclusive property of City, and Contractor assumes no responsibility for maintaining records of such data. 5. INDEMNIFICATION A. Contractor agrees to defend, indemnify, and hold harmless City, its officers, employees and agents, from any and all claims, omissions, liabilities and losses by whomever asserted arising out of acts or omissions of Contractor in its performance of Services under this Agreement, except those arising by reason of the sole negligence of City, its officers, employees or agents. B. City agrees to defend, indemnify and hold harmless Contractor, its officers, employees and agents, from any and all claims, liabilities, omissions and losses by whomever asserted arising out of acts or omissions of City in its per. formance under this Agreement, except those arising by reason of the sole negligence of Contractor, its officers, employees and agents.' 6.
