cease management and operation of a City theater on the <br />Property or fifty years from the date of this Agreement, <br />whichever comes first. <br /> <br />2. ' Management of Facility and Adoption of Policy. <br /> <br /> a. The City shall be responsible for management, <br />staffing, and control of the Theater, except as otherwise <br />provided herein. <br /> <br /> b. The City shall book events, establish use policies <br />and fees, and provide for the maintenance, improvement, and <br />repair of the Theater, except as otherwise provided herein. <br /> <br /> c. The City Council may, by resolution adopt use <br />policies. At least thirty (30) prior to adoption of any such <br />use policy or fee, the draft shall be referred to the Amador <br />Theater Advisory Group for comment. If the City Council <br />desires to make substantial changes in the draft policy not <br />previously considered by the Amador Theater Advisory Group, <br />then the draft policy shall be referred back to the Amador <br />Theater Advisory Group for further comment. <br /> <br />3. School District Use of Theater. <br /> <br /> a. The District shall be allowed use of the Theater <br />including the main stage area for sixty (60) days each year <br />without fee. <br /> <br /> b. The District's sixty days shall consist of two <br />blocks of thirty (30) days each, which shall be scheduled <br />three years in advance of use or any other combination of use <br />days not to exceed sixty days as determined by mutual <br />agreement. <br /> <br /> c. The District may not sublease the Theater during <br />their 60 days of use. Should the District not exercise their <br />option for 60 days of Theater use, unscheduled days will <br />revert to the City for scheduling. <br /> <br />d. If the Theater has not been booked by third parties <br />at any time during the period sixty (60) days to fourteen <br />(14) days in advance of a certain date or dates, then <br />District shall have the right to schedule an event for that <br />date or dates. During periods when other uses are scheduled <br />for evening, City will cooperate to schedule educational <br />activities during daytime hours if compatible with scheduled <br />evening activities. <br /> <br /> e. The District will comply with use policies <br />applicable to all users of the Theater. Additional costs <br />unique to a planned event which are generally covered by <br />users of the Theater, such as professional lighting <br />technicians and the like, shall be the responsibility of the <br />District. <br /> <br /> - 2 - <br /> <br /> <br />
