pursuant to each and every requirement of law, to consummate <br />such financing for the purpose, in the manner and upon the <br />terms herein provided; <br /> <br /> NOW, THEREFORE, BE IT RESOLVED by the City Council <br />of the City of Pleasanton, as follows: <br /> <br /> Section 1. All of the recitals herein contained are <br />true and correct and this City Council so finds. <br /> <br /> Section 2. The form of Improvement Agreement, dated <br />as of September 1, 1989, on file with the City Clerk of the <br />City, is hereby approved and the Mayor or City Manager of the <br />City, and the City Clerk of the City, are hereby authorized <br />and directed, for and in the name and on behalf of the City, <br />to execute and deliver the Improvement Agreement in <br />substantially said form, with such changes therein as such <br />officers may require or approve, such approval to be <br />conclusively evidenced by the execution and delivery thereof. <br /> <br /> The City Manager is hereby authorized and directed <br />to determine the principal and interest components of the <br />revenue payments represented by the Certificates, not to <br />exceed $5,500,000 in aggregate principal components of revenue <br />payments and in any year an annual revenue payment of $600,000. <br /> <br /> Section 3. The form of Trust Agreement by and among <br />Bank of America National Trust and Savings Association, as <br />trustee, the Corporation and the City, dated as of <br /> <br />September 1, 1989, on file with the City Clerk of the City, is <br />hereby approved and the Mayor or City Manager of the City, and <br /> <br /> 4 <br />5344M <br /> <br /> <br />
