RESOLUTION NO. 89-315 <br /> OF THE CITY COUNCIL OF THE <br /> CITY OF PLEASANTON, CALIFORNIA <br /> <br /> RESOLUTION APPROVING THE FORMS OF AND AUTHORIZING THE <br /> EXECUTION OF AN IMPROVEMENT AGREEMENT, A TRUST AGREEMENT, <br /> AND AN OFFICIAL STATEMENT, AUTHORIZING THE DISTRIBUTION <br /> OF AN OFFICIAL NOTICE OF SALE, AND AUTHORIZING A <br /> FINANCING WITH CITY OF PLEASANTON PUBLIC FACILITIES <br /> CORPORATION OF THE CROSS-TOWN SANITARY SEWER PROJECT AND <br /> CERTAIN ACTIONS IN CONNECTION THEREWITH <br /> <br /> WHEREAS, the City of Pleasanton is a municipal <br />corporation and political subdivision of the State of <br />California (the "City"); <br /> <br /> WHEREAS, the City desires to reduce the costs of <br />construction, acquisition and financing of the Cross-Town <br />Sanitary Sewer Project (the "Project"), and such acquisition, <br />construction and financing constitute governmental affairs of <br />the City; <br /> <br /> WHEREAS, City of Pleasanton Public Facilities <br />Corporation (the "Corporation") is a nonprofit corporation <br />formed to render financial assistance to the City by financing <br />and refinancing the acquisition, construction, improvement and <br />remodeling of public buildings and facilities for the City; <br /> <br /> WHEREAS, by its Articles of Incorporation and by its <br />Bylaws no part of the net earnings, funds or assets of said <br />Corporation shall inure to the benefit of any director thereof <br />or any other person, firm or corporation, except the City; <br /> <br /> WHEREAS, the City has full legal right, power and <br />authority to enter into an improvement agreement with the <br /> <br /> 5344M <br /> <br /> <br />
