CONTRACT FOR CONSULTANT SERVICES Amendment No. 1 George E. Homolka, Inc. THIS AMENDMENT NO. 1 TO CONTRACT FOR CONSULTANT SERVICES, executed on October 4, 1988, is made and entered into this 12th day of December, 1989, by and between the CITY OF PLEASANTON, a municipal corporation (hereinafter referred to as "City") and GEORGE E. HOMOLKA, INC., a California Corporation (hereinafter referred to as "Consultant"). W I T N E S S E T H: A. Consultant and City entered into an Agreement entitled "Contract for Consultant Services" on October 4, 1988. B. Both parties desire to amend the above-stated Agreement in order to provide Consultant a seven percent (7%) increase in compensation. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, City and Consultant agree upon the modifications to the original Agreement and Amendment No. 1 as follows: 1. Paragraph 6 of the Agreement is hereby amended as follows: Compensation. For the services to be rendered hereunder, City shall pay Consultant on a fixed-fee basis in the amount of $125,000.00 per year, beginning on the date of the execution of this contract and shall be paid in equal monthly installments. The fixed fee will be renegotiated for subsequent years no less than one month prior to the beginning of a new yearly period to consider the effects of inflation and other expenses, but in no case shall be less than $125,000.00 without a change in the Scope of Work. City shall pay Consultant an additional amount of Eight Thousand Seven Hundred Fifty Dollars and no cents ($8,750.00) on or about January 2, 1990, but no later than January 15, 1990. This increase in compensation shall be considered a seven percent (7%) increase beginning on October 4, 1989 for the remainder of the initial contract period (until October 4, 1990).
