NANAGE),IENTAGREE)IENT <br /> <br /> This Management Agreement (the "Agreement") is made as of this 31st day of <br />October, 1989, by and between Eden Housing, Inc., a California nonprofit <br />corporation (the "Owner") and EH[ Property Management Services, Inc., a <br />California corporation (the "Agent") to provide management services for a <br />rental housing development (the "Development") further described in Section 1. <br /> <br /> RECITALS: <br /> <br />A. Pursuant to the Ground Lease between the Owner and the City of Pleasanton, <br />the Owner shall operate the Development, which consists of all the land, <br />buildings, other improvements and funds or property of whatever kind or nature <br />committed to the Development. <br /> <br />B. The California Housing Finance Agency, a public instrumentality and a <br />political subdivision of the State of California, is financing the Development <br />pursuant to a first and second mortgage loan to the Owner. See Section 27. <br /> <br />C. The City of Pleasanton, California, a municipal corporation, is financing <br />the Development pursuant to a third mortgage loan to the Owner, and is the <br />lessor of the Development pursuant to a Ground Lease between the City of <br />Pleasanton and the Owner. See Section 27. <br /> <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> <br /> ]. The Development. Name: Ridge View Commons <br /> Office Address: 5200 Case Avenue <br /> City: Pleasanton County: Alameda <br /> No. of Units: 198 Elderly;:2 Manager's <br /> CHFA No: 87-007-N <br /> Development's Fiscal Year: January 1 to <br /> December 31. <br /> <br /> 2. Definitions. As used in this Agreement: <br /> (a) "City" means the City of Pleasan~on, California. <br /> <br /> (b) "CHFA" means the California Housing Finance Agency. <br /> <br /> (c) "Ground Lease" means the Ground Lease dated June 1, 1988, <br />between the City as the lessor and Owner as the lessee. <br /> <br /> (d) "HDG" means the Housing Development Grant. <br /> <br /> (e)'"HDG Covenants" means the Housing Development Grant Covenants <br />between the City and Owner and recorded in the Official Records of Alameda <br />County. <br /> <br /> (f) "HDG Owner/Grantee Agreement" means the Housing Development <br />Grant Owner/Grantee Agreement between the City and Owner. <br /> <br />19:MGMTAGR.EHI (,ro/27/89~ ,-~ 1 <br /> <br /> <br />
