OCT 11 '89 09:29 HEWM 32ND FLOOR P.2 <br /> <br /> ASSIGNMENT OF AGREEMENTS <br /> <br /> THIS ASSIGNMENT OF AGREEMENTS ("Assignment") is made <br /> and entered into as of the day of October, 1989 by and <br /> between The Stoneson Development Corporation, a California <br /> corporation ("Stoneson"), and SDC Distributing, L.P., a <br /> California limited partnership ("Distributing"), with the <br /> acknowledgment and consent of the City of Pleasan=on, a municipal <br /> corpora=ion (the "City"). <br /> <br /> WHEREAS, Stoneson currently is the owner and developer <br /> of that certain real property located in the City of Pleasanton, <br /> County of Alameda, California referred to as Tract No. 5821, and <br /> commonly known as Gold Creek Townhomes (the "Property")~ and <br /> <br /> WHEREAS, following receipt of the California Departmen~ <br /> of Real Estate approval as to the amendment of ~he Final <br /> Subdivision Public Report on Phase I of bhe Property (File No. <br /> 027098SA-F00) and in.any event on or prior to December 31, 1989, <br /> Stoneson will transfer and convey to Distributing the Property <br /> (with the date of such transfer being heroinafter referred to as <br /> the "Effective Da~e")~ and <br /> <br /> W~ER~AS, in conjunction with the City's earlier <br /> approval of the proposed development of the Proper~y, Stoneson <br /> entered into in favor of the City the following agreements <br /> (collectively ~he "Agreements"): (i) the Long-TermAgreement <br /> entered into on September 13, 1983 b~ and among Stoneson, <br /> Stoneson Associates and the cit~, as amended by =he Amendmen= to <br /> =he Long-Term Agreement entered into on June 2, 1987 by and <br /> <br /> <br />
