CITY COUNCIL OF THE CITY OF PLEASANTON ALAMEDA COUNTY, CALIFORNIA RESOLUTION NO. 89-444 RESOLUTION APPROVINGAND CONSENTING TO AN ASSIGNMENT OF AGREEMENTS CONCERNING GOLD CREEK TOWNHOMES (TRACT NO. 5821) WHEREAS, the Stoneson Development Corporation (Stoneson) is the owner and developer of that certain real property located in the City of Pleasanton, County of Alameda, California referred to as Tract No. 5821, and commonly known as Gold Creek Townhomes (the "Property"); and WHEREAS, following receipt of the California Department of Real Estate approval as to the amendment of the Final Subdivision Public Report on Phase I of the Property, Stoneson intends to transfer and convey to SDC Distributing the Property; and WHEREAS, in conjunction with the City's earlier approval of the proposed development of the Property, Stoneson entered into in favor of the City the following agreements (collectively the "Agreements"): (i) the Long-Term Agreement entered into on September 13, 1983 by and among Stoneson, Stoneson Associates and the City, as amended by the Amendment to the Long- Term Agreement entered into on June 2, 1987 by and between Stoneson and the City, recorded November 14, 1983, Series #83-214586, official records of Alameda County, California, and (ii) the Subdivision Agreement by and between Stoneson and the City relating to the Property entered into on or about November 1986; and WHEREAS, in conjunction with the transfer of the Property, Stoneson desires to assign and transfer all of the rights and obligations of Stoneson under the Agreements to Distributing; and WHEREAS, Distributing desires to assume Stoneson's rights and obligations under the Agreements; and WHEREAS, the City is agreeable to such assignment of the Agreements; NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PLEASANTON RESOLVES AS FOLLOWS: Section 1: The City Council approves and consents to the Assignment of Agreements, a copy of which is - 1-
