Municipal Improvement Act of 1913 (California Streets and Highways Code Section 10000 <br />et seq.) (the "1913 Act") and Resolution of Intention No. , adopted by the City <br />Council of the City on , (the "Resolution of Intention"). The Resolution of <br />Issuance and the Resolution of Intention are herein referred to as the "Resolutions". <br /> <br /> The Bonds shall be subject to redemption as set forth in the Official <br />Statement. <br /> <br /> 3. Public Offering. The Underwriter agrees to make a bona fide public <br />offering of all the Bonds initially at the public offering prices (or yields) set forth on the <br />cover page of the Official Statement. Subsequent to the initial public offering, the <br />Underwriter reserves the right to change the public offering prices (or yields) as it deems <br />necessary in connection with the marketing of the Bonds. The Bonds may be offered and <br />sold to certain dealers (including dealers depositing such Bonds into investment trusts) <br />at prices lower than such initial public offering prices. <br /> <br /> 4. Delivery of Documents. At the time of or before the City's acceptance <br />hereof (or such later date as the Underwriter may consent to) the City shall deliver to the <br />Underwriter a copy of the Resolutions and all proceedings relating thereto, certified by the <br />City Clerk. <br /> <br /> The City authorizes the use of the Official Statement in connection with the <br />public offering and sale of the Bonds. <br /> <br /> (a) The City agrees to deliver the Final Official Statements to the <br />Underwriter, at such addresses as the Underwriter shall specify, as many copies <br />of the Official Statement as the Underwriter shall reasonably request as necessary <br />to comply with paragraph (b)(4) of Rule 15c2-12 of the Securities and Exchange <br />Commission under the Securities Exchange Act of 1934 (the "Rule") and with Rule <br />G-32 and alt other applicable rules of the Municipal Securities Rulemaking Board. <br />The City agrees to deliver the final Official Statements within __ business days <br />after the execution hereof. <br /> <br /> (b) The City hereby authorizes and approves the Preliminary Official <br />Statement dated and the Final Official Statement and <br />any amendments or supplements that may be authorized for use with respect to <br />Official Statement by a duly authorized officer of the City. <br /> <br /> (c) The Underwriter shall give notice to the City on the date after which <br />no participating underwriter, as such term is defined in the Rule, remains obligated <br />to deliver Final Official Statements pursuant to paragraph (b)(4) of the Rule. <br /> <br /> (f) If, at any time prior to the earlier of (i) receipt of notice from the <br />Underwriter pursuant to subsection (c) of this Section 4 hereof that the Final Official <br />Statements are no longer required to be delivered under the Rule or (ii) 90 days <br />after the Closing, any event occurs with respect to the City as a result of which <br /> <br />-2- <br /> <br /> <br />
