subcontractors or suppliers for the accuracy, competency and <br />completeness for any documents prepared or services performed <br />pursuant to the terms and conditions of this Agreement, nor shall <br />such acceptance or approval be deemed to be an assumption of such <br />responsibility or liability by the Client, or its agents and <br />employees for any defect, error or omission in any documents <br />prepared or services performed by CPS, his employees, agents, <br />subcontractors or suppliers pursuant to this Agreement. An <br />approval by the Client of any part of CPS' performance shall not be <br />construed to waive compliance with this Agreement or to establish <br />a standard of performance other than required by this Agreement or <br />by law. The Client is not authorized to vary the terms of this <br />Agreement. <br />8.13 Inspection and Audits. <br />The Client shall have the right to examine and review all <br />books, records and billing documents which are directly related to <br />performance or payment under this Agreement. CPS shall maintain <br />such books, records, and billing documents for two years from the <br />date of the transaction. <br />8.14 Ambiguities. <br />In the event of any ambiguity in any of the terms of this <br />Agreement, it shall not be construed for or against any party <br />hereto on the basis that such party did or did not author the same. <br />8.15 Severability. <br />If any clause, paragraph or provision of this Agreement is <br />held invalid, such invalidity shall not effect the remainder of <br />this Agreement, which shall remain in full force and effect. <br />8.16 Entire Agreement. <br />This Agreement contains all the agreements of the parties <br />relating to the subject matter hereof and is the full and final <br />expression of the agreement between the parties. <br />8.17 Attorney's Fees. <br />In the event of litigation between the Client and CPS arising <br />from any provisions of this Agreement, each party shall bear its <br />own attorney's fees. <br />16 06/06/91 <br />
