FIRST AMENDMENT TO REIMBURSEMENT AGREEMENT FOR INSPECTION SERVICES FOR THE VALLEY AVENUE RAILRAOD UNDERCROSSING I EXHIBIT B This First Amendment, dated August 15,2006, amends the "Reimbursement Agreement for the V alley Avenue Railroad Undercrossing" entered into on the _ day of July, 2005, between the CITY OF PLEASANTON and BERNAL INVESTMENT COMPANY, LLC. RECITALS A. The parties desire to amend the Original Agreement to provide for additional hours for S & C Engineers ("Consultant") for engineering shop drawing review and construction inspection services for the Railroad bridge structure, including temporary shoring, the storm drain pump station and the storm drain box culvert for the Valley Avenue Railroad Undercrossing. NOW, THEREFORE, in exchange for mutual consideration, the receipt and value of which is hereby acknowledged, the parties agree as follows: I. The Scope of Work described in Exhibit "A" to the Original Agreement shall be amended to provide for additional hours for S & C Engineers ("Consultant") for engineering shop drawing review and construction inspection services for the Railroad bridge structure, including temporary shoring, the storm drain pump station and the storm drain box culvert for the Valley Avenue Railroad Undercrossing. 2. Reimbursement The Scope of Work described in the Original Agreement shall be further amended to include additional reimbursement in an amount estimated to be $18,500.00, bringing the new not-to-exceed amount to $95,670.00. Developer shall reimburse City for all Consultants' work described in Paragraph I above, in an amount estimated to be $95,670.00. 3. All other terms and conditions of the Original Agreement shall remain in full force and effect. THIS AMENDED AGREEMENT is executed as of the date and year first above written.
