<br />EXHIBIT B <br /> <br />CONTRACT FOR CONSULT ANT SERVICES <br />ON CALL CITY TRAFFIC MODEL OPERATION AND IMPROVEMENT, <br />TRAFFIC IMPACT REPORT PREPARATION, AND <br />PREPARATION OF 2002 AND 2003 BASELINE TRAFFIC REPORTS <br />FOR FISCAL YEARS 2002-03 AND 2003-04 <br /> <br />THIS AGREEMENT is made and entered into this 16th day of July, 2002, by <br />and between the CITY OF PLEASANTON, a municipal corporation (hereinafter <br />referred to as the "City"), and DOWLING ASSOCIATES, INC. whose address is 180 <br />Grand Avenue, Suite 250, Oakland, CA 94612, and telephone nnmber is 510-839-1742, <br />(hereinafter referred to as the "Consultant"). <br /> <br />WI TNE S SETH: <br /> <br />A. Consultant is qualified to provide, and experienced in providing, <br />transportation planning and traffic model maintenance services and has offered its <br />services for the purposes specified in this Agreement. <br /> <br />B. In the judgment of the City, it is necessary and advisable to employ the <br />services of Consultant for the purposes provided herein. <br /> <br />NOW THEREFORE, in consideration of the mutual covenants, agreements and <br />conditions contained herein, City and Consultant agree as follows: <br /> <br />1. Consultant's Services. Consultant shall diligently perform the services <br />and furnish the materials, reports, drawings, and related materials as hereinafter set forth: <br /> <br />a. Consultant shall perform all work described in Exhibit "A", Scope <br />of Work, attached hereto and incorporated herein by this reference. <br /> <br />b. Consultant shall meet with the technical staff of the City, other <br />pertinent agencies, and/or landowners as necessary to complete the <br />scope of work outlined in Section I (a) above. <br /> <br />2. City Services. In order to assist Consultant in this work, City shall <br />provide, if necessary, existing and projected land use data, and traffic count data, <br />necessary direction and draft report review and comments within a reasonable time. <br /> <br />3. Staff. The Project Manager for Consultant shall be Richard G. Dowling, <br />P.E., who may not be replaced without written consent of City. <br /> <br />4. Sufficiency of Consultant's Work. All reports, drawings, exhibits and <br />output files prepared for City shall be adequate and sufficient to meet the purposes for <br />which they are prepared. <br />
