<br />AGREEMENT FOR STAFFING SERVICES <br /> <br />I EXHIBIT C <br /> <br />THIS AGREEMENT FOR STAFFING SERVICES ("Agreement") is made and entered into as of the <br /> <br />Fill in Current Date, by and between the CITY OF PLEASANTON, a municipal corporation of the State of <br /> <br />California (hereinafter referred to as the "City"), and Fill In Company Name, whose address is Fill in Company <br /> <br />Address and Phone #, (hereinafter referred to as the "Consultant"). <br /> <br />WI T N ESSE TH: <br /> <br />A. The Consultant is a provider of global recruitment and human resources consulting solutions, is <br />qualified to provide, and experienced in providing, civil engineering design, and has offered its services for the <br />purposes specified in this Agreement <br /> <br />B. In the judgment of the City, it is necessary and advisable to employ the services of the Consultant <br />as provided herein. <br /> <br />NOW THEREFORE, in consideration of the mutual covenants, agreements and conditions contained <br />herein, the City and the Consultant agree as follows: <br /> <br />1. Consultant's Services. The Consultant shall provide personnel to augment the City's staff as <br />described in Exhibit "A", Scope of Work, attached hereto and incorporated herein by this reference. <br /> <br />2. Citv Services. In order to assist the Consultant in the performance of the work described in <br />Exhibit "A", the City shall provide, suitable transportation, tools of the trade, and any and all materials, supplies and <br />support reasonably required by the Consultant. <br /> <br />3. Staff. Personnel assigned pursuant to Exhibit "A" may not be replaced without the prior written <br />consent of the City. <br /> <br />4. Sufficiencv of Work. All reports prepared for the City by the Consultant shall be adequate and <br />sufficient to meet the purposes for which they are prepared. <br /> <br />5. OwnershiD of Work. All reports, work data, and all other documents completed or partially <br />completed by Consultant in the performance of this Agreement shall become the property of the City. <br /> <br />6. Terms. Time is of the essence. The Consultant shall begin work August 8, 2002. The work as <br />described in Exhibit "A", Scope of Work, shall continue until terminated by the City. Termination shall occur when <br />the City provides notice to the Consultant as stated in Paragraph IO of this agreement. <br /> <br />7. ComDensation. For the services to be rendered hereunder, the City shall pay the Consultant on a <br />time-and-materials basis, not to exceed $46.20 per hour, as described more particularly in Exhibit "B". Payment <br />shall be made on a monthly basis upon receipt of the Consultant's invoice and the approval of the City Engineer. <br /> <br />3. Invoices submitted to the City for payment must contain a brief description of hours work <br />performed, and City reference number CM-_. Payment shall be made within thirty (30) days <br />of receipt of the Consultant's invoice. <br /> <br />8. Chan!!es. The City may request, from time to time, changes in the scope of services to be <br />provided by the Consultant. Any changes and related fees shall be mutually agreed upon between the City and the <br />Consultant and shall be the subject of a written amendment to this Agreement. <br /> <br />Contract for Consultant <br />Page 1 <br />
