In a memorandum of Mau, 2004,
the City analyzed the concept of forming a Cemetery District. The document is
attached to this report as Appendix C. the District approach seems unrealistic to
implement.

To maximize the use of any funds raised from whatever source, a key
component is for the City to actually take title to the property to be an
unregulated cemetery for State purposes.

A Management Plan we see as the best approach is summarized as follows:

1. City of Pleasanton exercises the option to buy the Odd Fellows Cemetery
for $1.00 prior to April 13, 2006.

2. The Committee to preserve the Cemetery fonnalizes their organization as
a tax-exempt foundation which can accept grants from the City,
individuals, corporations and other foundations.

11
