<br />Attachment A <br /> <br />Kaiser Permanente <br /> <br />Health Plan, Inc., Hospitals, HAMI, and HP AMI collectively comprise the Kaiser Pennanente <br />Credit Group (the "Credit Group"). The Credit Group, Kaiser Foundation Health Plan of Georgia, Inc. <br />("Health Plan Georgia"), Kaiser Foundation Health Plan of the Mid-Atlantic States, Inc. ("Health Plan <br />MAS"), Kaiser Foundation Health Plan of Colorado ("Health Plan Colorado"), Kaiser Foundation Health <br />Plan of Ohio ("Health Plan Ohio"), Kaiser Foundation Health Plan of the Northwest ("Health Plan <br />Northwest"), several other subsidiaries of Hospitals and of Health Plan, Inc. and eight independent <br />medical groups (the "Pennanente Medical Groups") fonn the integrated health care delivery system <br />known as the Kaiser Pennanente Medical Care Program ("Kaiser Pennanente"). Health Plan Georgia, <br />Health Plan MAS, Health Plan Colorado, Health Plan Ohio, Health Plan Northwest and Health Plan, Inc. <br />collectively are referred to herein as the "Health Plan Organizations" and individually as a "Health Plan <br />Organization." See "THE CREDIT GROUP" herein. <br /> <br />Hospitals and Health Plan, Inc. have several subsidiaries (including HAMI, which is a subsidiary <br />of Hospitals, and HPAM!, which is a subsidiary of Health Plan, Inc.), which are not Health Plan <br />Organizations. HAM! and HP AMI were incorporated as nonprofit corporations in 1998 in order to own <br />certain capital assets and lease such assets for use at the facilities of Hospitals and Health Plan, Inc., <br />respectively, in furtherance of their health care delivery mission. <br /> <br />As of December 31, 2003, organizations participating in Kaiser Pennanente provided medical, <br />hospital and other health care services to over 8.2 million members (subscribers and their dependents) <br />living primarily in the greater metropolitan areas of San Francisco, Sacramento, Los Angeles, San Diego, <br />San Jose, Fresno, Bakersfield, Portland (Oregon), Denver, Cleveland, Honolulu, Washington, D.C., <br />Baltimore and Atlanta. Approximately 79% of the Kaiser Pennanente members are enrolled in Health <br />Plan, Inc., which serves members in California and Hawaii. The remaining Kaiser Pennanente members <br />are enrolled in one of the other Health Plan Organizations. <br /> <br />Most Kaiser Pennanente members enroll under a membership agreement between their employer <br />and one of the Health Plan Organizations. Services are provided principally at facilities owned by <br />Hospitals and the Health Plan Organizations. Physician services are provided by physicians affiliated <br />with one of eight Pennanente Medical Groups that contract with one of the Health Plan Organizations by <br />mutually exclusive contracts or by community physicians that are under contract with one of the <br />Pennanente Medical Groups. <br /> <br />Kaiser Pennanente has its origins in the prepaid health care delivery system established to serve <br />workers and their fanlilies during the construction of the Grand Coulee Dam, starting in 1938. Later, <br />Kaiser Pennanente expanded to serve workers and their families at the World War II Henry J. Kaiser <br />shipyards in Richmond, California, and in the Portland-Vancouver area of Oregon and Washington, as <br />well as at the Kaiser Steel Mill in Fontana, California. <br /> <br />As described under "SECURlTY FOR THE BONDS," only Hospitals is obligated to make Loan <br />Repayments (described below) under the Loan Agreements and only the Guarantors are obligated to make <br />payments under the Guarantee Agreements. None of the other Health Plan Organizations, the other <br />subsidiaries of Health Plan, Inc. or Hospitals or any Pennanente Medical Groups has any obligation to <br />make payments with respect to the Bonds, nor are any of such organizations parties to any agreement <br />relating to the Bonds. <br />
