CITY COUNCIL OF THE CITY OF PLEASANTON <br /> <br /> ALAMEDA COUNTY, CALIFORNIA <br /> <br /> RESOLUTION NO. 93-101 <br /> <br /> RESOLUTION APPROVING FORM AND SUBMTANCE OF <br /> TRUST AGREEMENT AND AUTHORIZING CHANGES <br /> THERETO AND EXECUTION THEREOF <br /> <br /> (1993 Reassessment Revenue Bonds, Series A and B) <br /> <br />WHEREAS, in connection with a proposed refunding plan of the City <br /> of Pleasanton (the "City") for refunding of fifteen (15) <br /> separate series of special assessment improvement bonds <br /> (the "Prior Bonds") of the City, it is proposed that the <br /> Pleasanton Joint Powers Financing Authority (the <br /> "Authority"), acting through its Board Members <br /> (the"Authority Board"), authorize, issue and sell to <br /> PaineWebber Incorporated (the "Underwriter") two (2) <br /> separate series (Series A and Series B) of its 1993 <br /> Reassessment Revenue Bonds (the "Revenue Bonds"), with <br /> net proceeds of sale thereof (after funding a reserve <br /> fund and payment of costs of issuance) to be utilized to <br /> purchase from the City four (4) separate series of City <br /> of Pleasanton Limited Obligation Refunding Bonds (the <br /> "Refunding Bonds"), the proceeds of sale of which will, <br /> in turn, be utilized by the City, along with other <br /> moneys, to redeem the Prior Bonds on September 2, 1993, <br /> or January 2, 1994 or September 2, 1994, as the case may <br /> be; and <br /> <br />WHEREAS, in furtherance of implementing the proposed refunding <br /> plan, there has been filed with the City Clerk for <br /> consideration and approval by this City Council a Trust <br /> Aqreement under the terms of which (1) the Revenue Bonds <br /> are to be issued and the reassessment revenues (received <br /> by the Authority as holder of the Refunding Bonds) are to <br /> be administered to pay the principal of and interest on <br /> the Revenue Bonds and (2) the City will covenant for the <br /> benefit of Owners of the Revenue Bonds to provide certain <br /> credit information on an annual basis; and <br /> <br />WHEREAS, being fully advised in the matter of the proposed <br /> refunding plan, this City Council wishes to approve the <br /> form and substance of the Trust Agreement and to <br /> authorize execution thereof on behalf of the City. <br /> <br />NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PLEASANTON RESOLVES <br />AS FOLLOWS: <br /> <br /> Section 1: The foregoing recitals are true and correct, and this <br /> City Council so finds and determines. <br /> <br /> <br />
