(deemed throughout this resolution to include the Assistant City <br />Manager in the absence of the City Manager) to approve Exhibit B <br />after the date of this resolution but only concurrently with <br />approval by the Executive Director of the Authority (deemed <br />throughout this resolution to include the Assistant Executive <br />Director in the absence of the Executive Director) of Exhibit A <br />and upon the condition that both the maturity schedule and the <br />interest rates, as established by Exhibit B, shall be consistent <br />with the written engineer's report previously approved by <br />separate resolution of this City Council so as to preserve <br />compliance with the condition specified by Section 9525 of the <br />California Streets and Highways Code, under the terms of which <br />this City Council approved and confirmed said written engineer's <br />report without notice and hearing otherwise required by law. <br /> <br /> Following attachment of the approved Exhibits A and B, <br />and subject to such modification and revisions to the body <br />thereof not inconsistent with the essential terms thereof, which <br />modifications shall be approved by the City Attorney (such <br />approval to be conclusively established by execution thereof by <br />the City Manager), and concurrently with execution thereof by the <br />authorized representatives of the Underwriter and the Authority, <br />the City Manager is authorized to execute the Bond Purchase <br />Agreement on behalf of the City. <br /> <br /> Section 3. The form and substance of the Preliminary <br />Official Statement is hereby approved.
