entitled "Bond Purchase Agreement" (the "Bond Purchase <br /> Agreement"), by and among the City, the Authority, and <br /> PaineWebber Incorporated (the "Underwriter"); and <br /> <br /> WHEREAS, concurrently with delivery of the Refunding <br />Bonds to the Authority, and as part of the refunding plan for <br />refunding the Original Bonds, the Authority will issue, execute <br />and cause delivery of two separate series of reassessment revenue <br />bonds (the 1993 Reassessment Revenue Bonds, Series A and B, <br />respectively) pursuant to the terms and conditions of that <br />certain trust agreement (the "Trust Agreement"), dated as of July <br />1, 1993, by and between the Authority and Bank of America <br />National Trust and Savings Association, as trustee (the <br />"Trustee"), which Trust Agreement provides for the establishment <br />and initial funding of a Reserve Account for each of said <br />separate series of reassessment revenue bonds (the "Series A <br />Reserve Account" and the "Series B Reserve Account", <br />respectively) and provides for withdrawals therefrom and <br />replenishment thereof; <br /> <br /> NOW, THEREFORE, BE IT RESOLVED by the City Council of <br />the City of Pleasanton, as follows: <br /> <br /> Section 1. The foregoing recitals are true and <br />correct, and this City Council so finds and determines. <br /> <br /> Section 2. This City Council has reviewed all <br />proceedings heretofore taken relative to the foregoing and has <br />found, as a result of such review, and does hereby find and <br />determine that all acts, conditions and things required by law to <br />exist, to happen and to be performed precedent to and in the <br /> <br />SF2-~8850.1 4 <br /> <br /> <br />
