Resolution No. 94-94 Page Two WHEREAS, the Authority has indicated its intention to issue, sell and deliver its Refunding Water and Sewer Revenue Bonds, 1994 Series A (the "Bonds"), in a principal amount sufficient to retinanee, in part, the Prior Obligations, which Bonds shall be payable solely from payments made by the City under and pursuant to such installment purchase contracts, all under and in accordance with the Constitution and laws of the State of California, including the JPA Act; and WHEREAS, there have been presented at this meeting forms of the conveyance agreements, the installment purchase contracts and a preliminary official statement; NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PLEASANTON RESOLVES AS FOLLOWS: Section 1: Approval of Conveyance Agreements. The proposed form of the Conveyance Agreements, currently dated as of April 1, 1994 (collectively, the "Conveyance Agreements"), by and between the Authority and the City, as presented to this meeting are hereby approved. The City Manager and Assistant City Manager, and the City Clerk or any other officers duly designated by the City (the "Officers") are hereby authorized and directed, for and on behalf of the City, to execute, acknowledge and deliver the Conveyance Agreements, in substantially the forms presented to this meeting, with such changes therein as such Officers may require or approve, with the advice and approval of the City Attorney of the City, such approval to be conclusively evidenced by the execution and delivery thereof. Section 2: Approval Of Installment Purchase Contra~ts. The form of Installment Purchase Contracts, currently dated as of April 1, 1994 (collectively, the "Installment Purchase Contracts"), by and between the City and the Authority, as presented to this meeting are hereby approved. The Officers are hereby authorized and directed, for and on behalf of the City, to execute, acknowledge and deliver the Installment Purchase Contracts, in substantially. the forms presented to this meeting, with such changes therein as such Officers may require or approve, with the advice and approval of the City Attorney, such approval to be conclusively evidenced by the execution and delivery thereof.
