-o CITY COUNCIL OF THE CITY OF PLEASANTON <br /> <br /> ALAMEDA COUNTY, CALIFORNIA <br /> <br /> RESOLUTION NO. 95-109 <br /> <br /> APPROVING AN INSTALLMENT PURCHASE <br /> FINANCING TO BE UNDERTAKEN BY TI-IE <br /> CALIFORNIA STATEWIDE COMMUNITIES <br /> DEVELOPMENT AUTHORITY TO BENEFIT KAISER <br /> FOUNDATION HOSPITALS <br /> <br /> WHEREAS, Kaiser Foundation Hospitals (the "Corporation"), a nonprofit public benefit <br /> corporation, has requested that the California Statewide Communities <br /> Development Authority CCSCDA") participate in an installment purchase <br /> financing for the purpose of refunding the California Health Facilities <br /> Financing Authority Kaiser Permanente Medical Care Program Revenue <br /> Bonds, 1985 Series A (the "1985 Bonds"); and <br /> <br /> WHEREAS, the proceeds of the 1985 Bonds were used to finance the construction and <br /> equipping of a medical center located in the City of Pleasanton (the "City") <br /> which is owned by the Corporation (the "Facilities"); and <br /> <br /> WHEREAS, in connection with the financing, CSCDA and the Corporation will enter <br /> into an installment purchase agreement (the "Purchase Agreement") under <br /> which the Corporation will sell the Facilities (and other property) to <br /> CSCDA and CSCDA will agree to make payments (the "Installment <br /> Payments") to the Corporation for the purchase thereof; and <br /> <br /> WHEREAS, certificates of participation (the"Certificates") in an aggregate principal <br /> amount not to exceed $170,000,000, each representing a proportionate <br /> undivided interest in the installment payments, will be executed, delivered <br /> and sold in connection with the financing; and <br /> <br /> WHEREAS, proceeds of the certificates in an amount not to exceed $2,500,000 are <br /> expected by the Corporation to be used for the refunding of that portion of <br /> the 1985 Bonds which were used to fund the Pleasanton project; and <br /> <br /> <br />
