that water is not available for delivery, or that suspension of delivery is necessary due to its water <br />supply operations, repairs or improvements to its system, possible endangerment of its water supply <br />or facilities, or disasters or emergencies that may affect the supplying agency' s delivery of water. <br /> <br /> Each agency shall be solely responsible for the water delivered to it hereunder from <br />the point of connection. The receiving agency shall indemnify, defend, and hold harmless the <br />supplying agency, its directors, officers, agents, and employees from and against any and all losses, <br />liability, expense, claims, costs, suits, and damages, including attorneys fees, arising out of the <br />transportation, storage, treatment, use or consumption of the water beyond the point of connection, <br />or arising out of any interruption, suspension, adjustment, or termination of the water supply provided <br />hereunder. <br /> <br /> 4. OPERATIONAL PROVISIONS. (a) C,~ll~lil~. Two locations (hereinafter <br /> <br />described) are available and contemplated by the parties to be used for connections. Figure 1, <br />attached hereto and incorporated herein, shows the first location where a 10- inch CITY main and <br />a 12-inch DISTRICT main are in close proximity. Each agency shall coordinate with the new Eastern <br />Dublin/Pleasanton BART station designers and contractors to allow construction of valved <br />interconnections from the CITY's main to the DISTRICT's main as shown schematically on Figure <br />1. The DISTRICT shall pay for an intertie pump, flow meter, ancillary valving and piping, and a <br />backflow device as required to allow flow to pass from the CITY' s system to the DISTRICT system. <br />The CITY will pay for additional valving, metering and ancillary piping or backflow prevention <br />devices as required by the CITY to reverse flow from DISTRICT to the CITY. Payments for <br />improvements shall be made through BART in accordance with the terms and conditions of existing <br />agreements between BART and each agency. <br /> <br /> The second location, shown in Figure 2, attached and incorporated hereto, is at <br />Johnson Drive in Pleasanton,California. where an existing 16-inch main owned by CITY connects to <br /> <br /> <br />
