Box 520 <br /> Pleasanton, CA 94566 <br /> <br /> Record for the Benefit of the <br /> City of Pleasanton Pursuant to <br /> Government Code Section 6103 THE AREA ABOVE IS RESERVED FOR RECORDER'S USE <br /> <br /> SECOND AMENDMENT TO FOOTHILL/SAB <br /> AMENDED DEVELOPMENT DEFERMENT AGREEMENT <br /> <br /> THIS SECOND AMENDMENT TO THE FOOTHILL/SAB AMENDED <br />DEVELOPMENT DEFERMENT AGREEMENT ("Second Amendment") is entered <br />into by and between CROCKER PROPERTIES, INC., a wholly owned <br />subsidiary of Wells Fargo Bank, N.A., a national banking <br />association ("Crocker"), and the CITY OF PLEASANTON, a municipal <br />corporation ("City") on this day of , 1996. <br /> <br /> RECITALS <br /> <br /> A. WHEREAS, on August 20, 1990, Crocker, City and <br />Stoneridge II, a California general partnership, entered into <br />that certain First Amendment to Foothill/SAB Amended Development <br />Deferment Agreement ("First Amendment") which, among other <br />things, recognized the transfer of 213 sewer permits to Crocker <br />for its use in developing the property commonly known as <br />Stoneridge Corporate Plaza II ("Property Sewer Permits") and <br />which set forth a revised scheme governing the building permit <br />limitation and time periods for use of the Property Sewer <br />Permits; and <br /> <br /> B. WHEREAS, on August 20, 1990, Crocker and City also <br />entered into a Development Agreement pursuant to Section 65864 et <br />seq. of the California Government Code ("Development Agreement") <br />which governs development of the Stoneridge Corporate Plaza II <br />property; and <br /> <br /> C. WHEREAS, Paragraph 10 of the First Amendment provides <br />that the term of the agreement regarding use of Property Sewer <br />Permits would continue for 10 years after the effective date of <br />the First Amendment (i.e., until August 20, 2000) and further <br /> <br />BPHSF6\CJB\0212209.01 <br />01/10/96 1. <br /> <br /> <br />
