1 Leandro to minimize impacts of construction. LAVWMA shall also provide irrigation and <br />2 street trees along Lewelling Boulevard from Washington Avenue to Wicks Boulevard. <br />3 11. Agreement With Hayward. LAVWMA shall enter into a separate agreement with <br />4 the City of Hayward that is consistent with the Hayward City Council's Resolution No. 93- <br />5 159. <br />6 12. Indemnity. Both parties shall operate and maintain their respective systems so <br />7 as not to damage the other party's system. E~~h party shall hold the other free and <br />8 harmless from all liability or damages incurred by the other as a direct and proximate <br />9 result of any failure by such parry to properly operate and maintain its system. I~VWMA <br />10 further agrees to indemnity EBDA, its Commissioners and Officers, member agencies and <br />11 their Directors, Council Members and officers from all claims, suits, damages, costs, <br />12 losses and expenses that it may incur because of or resulting from LAVWMA Export <br />13 Expansion Project, the design, ~ construction, or operation thereof. <br />14 13. Wastewater Discharge Requirements <br />15 As provided in the existing agreements, LAVWMA shall discharge its wastewater <br />16 into EBDA's facilities such that its treated wastewater complies with all National Pollution <br />17 Discharge Elimination System (NPDES) permit requirements imposed upon EBDA as well <br />18 as any NPDES permit requirements imposed directly upon l~4VWMA or its member <br />19 agencies by any regulatory agency. EDBA shall perform the dechlorination requirements <br />20 imposed by both federal and state agencies. LAVWMA shall reimburse EBDA for <br />21 dechlorination costs as defined in EXHIBIT "A". <br />22 14. Term of Agreement. The term of this Agreement shall extend until January 1, <br />23 2020, which coincides with the term of EBDA's Joint Exercise of Powers Agreement <br />r rev. o per ~omt mtng o cto er , <br />
