BYLAWS OF <br /> ABAG POWER <br /> <br /> ARTICLE 1 - NAME <br />The name of this public entity is ABAG Publicly OWned Energy Resour~s (ABAG <br />POWER) <br /> <br /> ARTICLE 2 - OffICES <br /> 2.1 Princi_nal Office. The principal office for the transaction of the business of <br />ABAG POWER is located at 101 - lith Street, Oakland, County of Alameda, California. <br />The Board of Directors (Board) may change the principal office from one location to <br />another. Any change of this location will be noted by the Secretary on these Bylaws <br />opposite this section, or this section may be mended to state the new location. <br /> 2.2 Other Offices. The'Board may at any time establish branch or subordinate <br />offices at any place or places. <br /> <br /> ARTICLE 3-LIMITATION ON AUTHORIT"Y <br />ABAG POWER's exen:ise of its power under the ABAG POWER Joint Powers <br />Agreement (JPA) and these Bylaws is restricted to the extent required under California <br />Government Code Section 6509. The is hereby designated pursuant to <br />said Section 6509. This designation may be changed by a two-thirds C2/3) vote of the <br />Board pwvided that the designated agency must be a city or county in California. <br /> <br /> ARTICLE 4 - MEMBER ENTITLES <br />In addition to the original contracting parties (as the term is used in California Government <br />Code Section 6502) to the JPA, any other public entity (as defined in California <br />Government Code 3c'ction 6500), which becomes a contracting party pursuant to the JPA <br />and these Bylaws, is a Member. Any contracting party which withdraws or is expelled <br />pursuant to these Bylaws ceases to be a Member. <br /> <br /> <br />
